Facts & Arts as your own Sales Outlet
Facts & Arts will launch a new service for Rights Holders of digital content at the Midem Music Fair in Cannes in January 2012. The service allows Rights Holders to sell their content directly to the consumer at prices set by the Rights Holder. The service works as follows:
Your rights as a Rights Holder Customer of Facts & Arts
1. You will have your own section within the Facts & Arts web site and, if you choose, separate pages within your section for any number of your artists or writers.
2. You can place your content for sale to the consumer onto your section.
3. Music and videos are delivered to the consumer through streaming. The material that is bought remains accessible for the consumer for a period of 24 hours.
4. Written material is delivered to the consumer through downloading.
5. You set the price for streaming or downloading of your content.
6. You remain the full Rights Holder to your content. You are the owner of the sales revenue generated by your content.
7. There is no cost for you for having your own section and pages within Facts & Arts, nor for the uploading of material onto your section.
8. You may use your section for the promotion of your products.
9. Facts & Arts is a non-exclusive, incremental sales channel for you.
10. You can remove any of your content from your section at will. You can even cease using Facts & Arts at will, and your section will be closed promptly.
Other terms:
11. Facts & Arts is a global site. You cannot limit your sales geographically.
12. All sales are to be denominated in U.S. Dollars.
13. The sales transactions are carried out with the PayPal Micropayment system.
14. Facts & Arts takes a fee of 25% of the sales plus 5 U.S. cents per sales transaction. Facts & Arts pays you your net balance after the Facts & Arts fee on a monthly basis. Minimum payment is 100 U.S. Dollars; a smaller balance is moved forward.
15. Facts & Arts pays (i) PayPal’s fee that is 5% of sales revenue plus 5 U.S. cents per transaction, (ii) the music rights fees due to PRS for Music, and (iii) other costs related to the site.
16. As the Rights Holder and Seller of your content you are responsible for the declaration and payment of any sales tax or VAT for your sales as stipulated by law in your jurisdiction.
17. Facts & Arts’ target audience is the ‘renaissance man’, i.e. a well-informed individual with widely varied intellectual interests. The material being sold on Facts & Arts must be suitable for its target audience. Facts & Arts does not allow silly or vulgar content to be displayed on its site.
18. Facts & Arts operates under Finnish jurisdiction. The applicable law for agreements between Rights Holder and Facts & Arts is Finnish law.
